Terms of Service

These Terms govern access to and use of Koesive, including its website, application, quoting, translation, localization, project-management, support, and delivery services. Koesive is provided by iDISC Information Technologies, S.L., Passeig del Progrés 96, 08640 Olesa de Montserrat (Barcelona), Spain, VAT/CIF B-61284014, Commercial Registry of Barcelona, Volume 29643, Section 70, Page 158178 (“iDISC”, “we”, “us”). “Koesive” means the website, application, and services described in these Terms.
By registering, buying credit, confirming an Order, or using the Service, you accept these Terms. If acting for an organization, you confirm that you are authorized to bind it.
1. Eligibility and accounts
Koesive is primarily a business service, but individuals may self-register. Users must be at least 18 or the age of legal majority in their country. Account information must be accurate and credentials protected. Client Administrators may manage and delete other users in their client account. To close your own account, use the support module or contact support@koesive.com.
2. Service and service levels
Koesive lets users upload supported files, obtain quotes, choose available AI, machine-translation, AI-plus-human, or human translation levels, manage projects, maintain language assets, and receive deliverables. Automated outputs can contain errors. Users must select a level suitable for the content, audience, and risk.
3. Orders
For pay-as-you-go purchases, an Order becomes binding when Stripe confirms payment. For prepaid credit, it becomes binding when the user confirms the Order and the applicable credit is deducted. Review the scope, service level, price, tax, currency, and delivery information before confirmation.
4. Prices, taxes, credit, and payment
Supported currencies are euros, US dollars, and Mexican pesos. Application prices exclude applicable taxes. Taxes are calculated and shown in Stripe checkout before payment. Current standard models are pay as you go and prepaid credit. Enterprise payment arrangements require a separate written agreement. Recurring subscriptions are not currently offered.
5. Cancellation and refunds
A binding Order cannot be cancelled and paid fees or consumed credit are non-refundable, except where mandatory law or an express written agreement requires otherwise. If you are a consumer, mandatory withdrawal, conformity, cancellation, refund, and other statutory rights prevail. Where a consumer has a statutory withdrawal right and requests that performance begin during the withdrawal period, Koesive will obtain any express request, consent, or acknowledgement required by applicable law. If the Service is fully performed after the required prior consent and acknowledgement, the withdrawal right may be lost to the extent provided by law. If a consumer validly withdraws after requesting that performance begin but before the Service is fully performed, the consumer may be required to pay the proportionate amount permitted by law.
6. Customer Content
You retain rights in files, text, translation memories, glossaries, instructions, prompts, and other materials you submit (“Customer Content”). You grant iDISC a limited, non-exclusive licence to host, copy, process, transmit, translate, transform, review, and deliver Customer Content only as needed to provide, secure, administer, and support the Service.
You confirm that you have the rights, lawful basis, notices, and permissions required to submit Customer Content. Document content is not translated before an Order is activated, although Koesive may receive, secure, store, and technically analyse uploaded files to prepare and manage a quote.
7. AI and external processing
Koesive selects one provider for each translation request according to the service level and project requirements. Providers may include OpenAI, Anthropic, Google Gemini, Google machine translation, DeepL, and Microsoft Azure OCR. Customer-provided data is not used by Koesive to train models used in the Service. See the Sub-processors page and DPA.
8. Acceptable use
Do not use Koesive unlawfully; submit infringing, unauthorized, or malicious content; compromise security; disrupt the Service; evade limits; share credentials contrary to permissions; or reverse engineer the Service except where law permits.
9. Intellectual property
iDISC and its licensors retain rights in Koesive, its software, interfaces, documentation, trademarks, and technology. Rights in deliverables remain subject to rights in the source content, applicable law, and Order-specific terms.
10. Privacy, processing, and security
The Privacy Policy covers data for which iDISC acts as controller. The DPA applies when iDISC processes Customer Personal Data for a Customer as processor. Koesive follows iDISC’s security procedures and ISO/IEC 27001-certified information-security management system.
11. Suspension and termination
We may suspend or terminate access for material breach, overdue payment, unlawful use, security risk, legal requirement, or threat to the Service. Where practicable, we will provide notice and an opportunity to remedy. Closure does not cancel binding Orders or outstanding obligations. Customer Personal Data is returned or deleted under the DPA; controller records are retained under the Privacy Policy.
12. Service availability and changes
We may change features and do not guarantee uninterrupted or error-free operation. Material changes do not retroactively alter a binding Order unless required by law or accepted by the Customer.
13. Warranties and liability
For customers acting for purposes related to their trade, business, craft, or profession, and to the maximum extent permitted by law, the Service is provided “as is” and “as available”. We do not guarantee that automated output is error-free or fit for every purpose, and the Customer remains responsible for selecting an appropriate service level and reviewing outputs according to the intended use and risk. For those business customers, iDISC’s aggregate liability relating to an Order will not exceed the amount paid for the affected Order, except to the extent a greater liability cannot lawfully be limited. For consumers, mandatory conformity, remedy, liability, and other statutory rights are unaffected. Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited.
14. Changes to these Terms
Material changes will be notified through the Service, email, or another appropriate method. Changes do not retroactively amend a binding Order unless required by law or agreed.
15. Law, disputes, and contact
Spanish law applies, subject to mandatory protections. Courts are determined by applicable procedural law. Consumers retain mandatory rights and available courts in their habitual residence.
